LOTOS Asfalt Sp. z o.o. zaprasza Państwa do złożenia oferty zgodnie z warunkami niniejszego postępowania.
1. Przedmiot zapytania
Przedmiotem niniejszego zapytania jest dostawa dodatków smarnościowych do: olejów napędowych / olejów opałowych / paliw żeglugowych (01.10.2022-31.12.2027r.).

Wymagania odnośnie produktu:
- wpis na listę BPA, jako dodatek posiadający homologację
- własności smarne oleju napędowego po zadozowaniu dodatku i spełnienie wymagań normy PN-EN 590 w tym parametrze.

Informujemy, iż w ramach złożonej oferty wymagane jest:
- podanie ilości dozowania w mg/kg oleju napędowego,
- dołączenie potwierdzenia spełnienia wymagań technicznych na produkt,
- przesłanie karty charakterystyki SDS oraz specyfikacji technicznej w języku polskim,
- podanie terminu realizacji od momentu wywołania zapotrzebowania
- wypełnienie OŚWIADCZENIA dotyczącego spełnienia wybranych wymogów rozporządzenia REACH,
- potwierdzenie wysyłania atestu do każdej dostawy - podanie kodu CN

2. Orientacyjne zapotrzebowanie:
150-600 ton/rok

3. Warunki dostawy: DAP LOTOS Asfalt Sp. z o.o., zgodnie z Incoterms 2010, (koszt transportu wliczony w cenę jednostkową)

4. Ważność oferty Wymagany okres ważności oferty
- min. 120 dni od dnia złożenia oferty

5. Kryteria oceny
- cena (koszt dozowania dodatku na 1 tonę oleju napędowego )
- ocena techniczna

6. Forma i treść oferty:
6.1. Pytania merytoryczne Wszelkie pytania merytoryczne dotyczące specyfikacji technicznej należy zadawać za pośrednictwem platformy zakupowej Logintrade.
Kontakt z członkami Komisji poza wytyczoną ścieżką, może skutkować wykluczeniem dostawcy z niniejszego postepowania wyboru kontrahenta.

6.3. Składanie ofert
Oferent składa ofertę wyłącznie poprzez Platformę Zakupową Logintrade.
Wymagane jest przesłanie minimum 100 ml próbki dodatku w terminie do 15.06.2022.
Prosimy o przestawienie ofert w dwóch załącznikach pdf - handlowej i technicznej (bez cen).
Wraz z ofertą bezwzględnie wymagane jest potwierdzenie wymagań postawionych w treści zapytania ofertowego.
Prosimy o wyraźne wskazanie ewentualnych odstępstw w stosunku do wymagań.
Oferta powinna być sporządzona w języku polskim lub angielskim.
Część merytoryczna (techniczna) musi zawierać:
a. Informacje techniczne wymagane w zapytaniu ofertowym z wyłączeniem ceny z uwzględnieniem:
- podanie ilości dozowania w mg/kg oleju napędowego,
- dołączenie potwierdzenia spełnienia wymagań technicznych na produkt,
- przesłanie karty charakterystyki MSDS oraz specyfikacji technicznej w języku polskim,
- podanie terminu realizacji od momentu wywołania zapotrzebowania
- wypełnienie OŚWIADCZENIA dotyczącego spełnienia wybranych wymogów rozporządzenia REACH,
- potwierdzenie wysyłania atestu do każdej dostawy
- podanie kodu CN.
- Ewentualne proponowane odstępstwa od OWZ powinny być uwzględnione w części merytorycznej oferty.
Przedmiot oceny w ramach oceny technicznej:
- własności smarne oleju napędowego po zadozowaniu dodatku i spełnienie wymagań normy PN-EN 590 w tym parametrze.

Część handlowa zawiera:
a. Cenę za 1 tonę produktu

Dokumenty formalne:
Wraz z ofertą handlową Oferent dostarczy skany następujących dokumentów:
o Dokumentu rejestrowego,
o Zaświadczenia o nadaniu NIP,
o Zaświadczenia o nadaniu REGON,
o Pełnomocnictwa do złożenia oferty,
o W przypadku podmiotów zagranicznych - certyfikat rezydencji.

Ponadto:
o Zaświadczenie o niezaleganiu w podatkach nie starsze niż 3 miesiące (wystawione przez Urząd Skarbowy, dotyczy RP),
o Zaświadczenia o niezaleganiu w opłacaniu składek z Zakładu Ubezpieczeń Społecznych nie starsze niż 3 miesiące,
o Zezwolenie/koncesja lub oświadczenie, że prowadzona działalność nie wymaga ich posiadania, o Sprawozdanie finansowe za ostatni rok obrotowy (jeżeli jest wymagane), deklaracja CIT-8, PIT-B lub inny dokument przedstawiający sytuację finansową kontrahenta,

7. LOTOS Asfalt Sp. z o.o. zastrzega sobie prawo do unieważnienia procesu wyboru kontrahenta, zamknięcia procesu bez wyboru kontrahenta oraz możliwość przeprowadzenia negocjacji z wybranym oferentem lub oferentami do chwili podpisania umowy/wystawienia zamówienia.
Wybór oferenta/ów do dalszych negocjacji nie stanowi przyjęcia oferty ani rozstrzygnięcia przetargu w rozumieniu Kodeksu Cywilnego. W takim przypadku Oferentom nie przysługują żadne roszczenia finansowe względem Zamawiającego.

8. Zamawiający odrzuci oferty zawierające rażąco niską cenę, zgodnie z informacją załączoną do Zapytania ofertowego.

9. W przypadku wybrania oferty, Oferent na potrzeby weryfikacji aktualnego stanu rozliczeń pomiędzy Zamawiającym a Grupą Kapitałową Oferenta, zobowiązuje się do wskazania w terminie 3 dni roboczych od dnia otrzymania informacji o wyborze złożonej oferty, wobec których spółek handlowych pozostaje on w stosunku dominacji lub zależności.
Na potrzeby tego oświadczenia za spółkę dominującą będzie rozumieć się spółkę handlową w przypadku, gdy:
a) dysponuje bezpośrednio lub pośrednio większością głosów na zgromadzeniu wspólników albo na walnym zgromadzeniu, także jako zastawnik albo użytkownik, bądź w zarządzie innej spółki kapitałowej (spółki zależnej), także na podstawie porozumień z innymi osobami, lub
b) jest uprawniona do powoływania lub odwoływania większości członków zarządu innej spółki kapitałowej (spółki zależnej) albo spółdzielni (spółdzielni zależnej), także na podstawie porozumień z innymi osobami, lub
c) jest uprawniona do powoływania lub odwoływania większości członków rady nadzorczej innej spółki kapitałowej (spółki zależnej) albo spółdzielni (spółdzielni zależnej), także na podstawie porozumień z innymi osobami, lub
d) członkowie jej zarządu stanowią więcej niż połowę członków zarządu innej spółki kapitałowej (spółki zależnej) albo spółdzielni (spółdzielni zależnej), lub
e) dysponuje bezpośrednio lub pośrednio większością głosów w spółce osobowej zależnej albo na walnym zgromadzeniu spółdzielni zależnej, także na podstawie porozumień z innymi osobami, lub
f) wywiera decydujący wpływ na działalność spółki kapitałowej zależnej albo spółdzielni zależnej.

Brak złożenia oświadczenia o stosunku dominacji lub zależności w wyżej wymienionym terminie bądź złożenie oświadczenia niezgodnego z prawdą, może skutkować odrzuceniem złożonej oferty. Oferentowi nie będą przysługiwać jakiekolwiek roszczenia względem Zamawiającego z tego tytułu. W przypadku braku złożenia oświadczenia w powyższym terminie bądź złożenie oświadczenia niezgodnego z prawda, Zamawiający zastrzega również możliwość dochodzenia odszkodowania od Oferenta na zasadach ogólnych.

10. Wszelkie informacje przedstawione w niniejszym dokumencie przeznaczone są wyłącznie w celu przygotowania Oferty i w żadnym wypadku nie powinny być wykorzystywane w inny sposób i do innych celów.

11.LOTOS Asfalt Sp. z o.o. zastrzega sobie prawo do akceptowania/odrzucania oferty w całości lub części.

Po zakończonym procesie wyboru kontrahenta do oferentów biorących udział w postępowaniu zostanie wysłana informacja o jego wyniku.

Dear Sirs,
LOTOS Asfalt Sp. z o.o. invites you to submit an offer in accordance with the terms of this procedure.
The subject of this inquiry is the supply of lubricating additives for diesel fuels / fuel oil / marine fuels (01.10.2022-31.12.2027).
1. Product requirements:
- BPA listed, as an approved additive
- lubricating properties of diesel fuel after dosing the additive and meeting the requirements of PN-EN 590 standard in this parameter.

Please be advised that as part of the offer submitted, it is required:
- indication of the dosing quantity as milligrams / kilogram of diesel fuel,
- attaching confirmation of compliance with the technical requirements for the product,
- sending the SDS and technical specification in Polish,
- providing the date of implementation from the moment of calling the demand
- filling in a STATEMENT regarding the fulfillment of selected requirements of the REACH regulation,
- confirmation of sending the certificate for each delivery
- indication of the CN code.

2 Approximate demand:
150-600 tons/year

3. Delivery terms: DAP LOTOS Asfalt Sp. z o.o. in accordance with Incoterms 2010, (transport cost included in the unit price).

4. Validity of the offer The required period of validity of the offer
- min. 120 days from the date of submission of the offer.

5. Assessment criteria
- Price (cost of dosage of the additive per 1 tonne of diesel fuel)
- Technical evaluation

6. The form and content of the offer:
6.1. Substantive questions All substantive questions regarding the technical specifications should be asked via the Logintrade purchasing platform.
Contact with members of the Commission outside the specified path may result in excluding the supplier from this contractor selection procedure.

6.3. To put up a proposal
The Bidder submits an offer only via the Logintrade Purchasing Platform.
A 100 ml sample of each additive is required to be sent by 15 June 2022.
Please present the offers in two pdf attachments - commercial and technical (without prices). Along with the offer, it is absolutely required to confirm the requirements set out in the content of the inquiry. Please clearly indicate any deviations from the requirements.
The offer should be prepared in Polish or English.
The substantive (technical) part must include: a. Technical information required in the inquiry, excluding the price, including: - indication of the dosing quantity as milligram per 1 kilo of diesel fuel,
- attaching confirmation of compliance with the technical requirements for the product,
- sending the SDS and technical specification in Polish,
- providing the date of implementation from the moment of calling the demand
- filling in a STATEMENT regarding the fulfillment of selected requirements of the REACH regulation,
- confirmation of sending the certificate for each delivery
- indication of the CN code.
The following will also be assessed:
- lubricating properties of diesel fuel after dosing the additive and meeting the requirements of PN-EN 590 standard in this parameter.
The commercial part includes:
a. Price for 1 tonne of product

Formal documents
with the commercial offer, the Tenderer will provide scans of the following documents:
o registration document,
o NIP certificate,
o Certificates of granting REGON,
o Powers of attorney to submit an offer,
o In the case of foreign entities - certificate of residence.
In addition:
o Certificate of no arrears in taxes not older than 3 months (issued by the Tax Office, applies to the Republic of Poland),
o Certificate of non-arrears in the payment of contributions from the Social Insurance Institution, not older than 3 months,
o Permit / concession or a declaration that the business activity does not require them,
o Financial statement for the last financial year (if required), CIT-8, PIT-B declaration or other document presenting the contractor's financial situation,

7. LOTOS Asfalt Sp. z o.o. reserves the right to cancel the contractor selection process, close the process without selecting a contractor and the possibility of negotiating with the selected bidder or bidders until the contract is signed / the order is issued. Choice the tenderer (s) for further negotiations does not constitute acceptance of the offer or the award of the tender within the meaning of the Civil Code. In this in the event, the Bidders are not entitled to any financial claims against LOTOS Asfalt Sp. z o.o.

8. LOTOS Asfalt Sp. z o.o. will reject offers with an abnormally low price, in accordance with the information attached to the Inquiry.

9. If the tender bid is selected, the Bidder shall be obliged to indicate commercial companies, towards which it is the dominating entity or the subsidiary, for the purpose of verification of settlements between the Contracting Authority and the Capital Group of the Bidder, within 3 working days from the date on which information about selection of the submitted tender bid is received.
For the purpose of such a declaration, a commercial company shall be considered dominating entity in the case, when:
a) it holds, directly or indirectly, the majority of votes during a shareholder assembly or a general assembly, also as a pledgee or a user, or in a management board of a different capital company (a subsidiary), including agreements made with third parties, or
b) is entitled to nominate or revoke the majority of the board members of a different capital company (subsidiary) or a co-operative (subsidiary co-operative), including agreements made with third parties, or
c) is entitled to nominate or revoke the majority of the members of supervisory board of a different capital company (subsidiary) or a co-operative (subsidiary co-operative), including agreements made with third parties, or
d) the members of its board comprise more than a half of the members of the board of a different capital company (subsidiary) or a co-operative (subsidiary co-operative), or
e) holds, directly or indirectly, the majority of votes in a personal subsidiary partnership or during a general assembly of a subsidiary co-operative, including agreements with third parties, or
f) has decisive influence on the operations of a capital subsidiary or a subsidiary co-operative.
If a declaration regarding the relationship of a domination or a subsidiary is not submitted within the aforementioned deadline, or if a false declaration is made, it may result in the submitted tender bid being rejected. The Bidder shall have no right to any claims towards the Contracting Authority in relation to such a situation. If a declaration is not made within the aforementioned deadline or if a false declaration is made, the Contracting Authority also reserves the right to claim compensation from the Bidder, according to the general regulations.

10. Any information provided in this document is intended solely for the purpose of preparing an Offer and in no event should be used in a different way and for different purposes.

11. LOTOS Asfalt Sp. z o.o. reserves the right to accept / reject the offer in whole or in part.
